1. INTRODUCTION
Welcome to School Sherpa. These Terms and Conditions ("Terms") govern your use of our website, SaaS platform, mobile applications, and related services (collectively, the "Service"). The Service is a paid software-as-a-product designed for educational institutions, teachers, students, and parents, featuring AI-driven sherpa analysis tools, payment services, and educational materials including notes, videos, and other content.
The Service is owned and operated by Maatri Nepal Learning Services Ltd ("Company," "we," "our," "us"), a company incorporated under the laws of Nepal. By accessing or using the Service, you ("User," "Subscriber," "Institution") agree to be bound by these Terms. If you are using the Service on behalf of an educational institution or organization, you represent and warrant that you have the authority to bind that institution to these Terms.
2. SIGNUP AND ACCOUNT REGISTRATION
- ● 2.1 Registration Required: To access the Service, you must create an account by providing accurate, complete, and current information during the signup process. This includes but is not limited to your full name, email address, phone number,and role (Teacher, Student, Institution Administrator, or Parent).
- ● 2.2 Accuracy of Information:: You acknowledge and agree that all information provided during signup must be truthful and accurate. You are solely responsible for maintaining the accuracy of your account information. Any false, inaccurate, or incomplete information may result in the immediate suspension or termination of your account without refund.
- ● 2.3 Account Approval: We reserve the right to accept, reject, or require additional verification for any account registration at our sole discretion. Certain account types (such as Institution accounts) may require additional verification or documentation before access is granted.
- ● 2.4 One Account Per User: Unless otherwise agreed in writing, each user is limited to one active account. Multiple accounts created by the same individual or entity may be terminated without notice.
- ● 2.5 No Account Sharing: Accounts are strictly non-transferable. You may not share your login credentials with any third party. Institutions with multiple users must purchase appropriate licenses or seats as outlined in their subscription bundle. Any unauthorized sharing or concurrent use of a single account across multiple users constitutes a breach of these Terms and may result in immediate termination without refund.
3. ELIGIBILITY
You must be at least 18 years old to subscribe to the Service. If you are a student or minor using the Service under the direction of a teacher or parent, you represent that you are doing so with the consent of a legal guardian or educational institution that has accepted these Terms on your behalf.
4. ACCOUNTS AND SECURITY
- ● 4.1 Account Types: We offer accounts for Institutions (Schools), Educators (Teachers), and Students/Parents.
- ● 4.2 Responsibility: You are responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
- ● 4.3 Institutional Oversight: Institutions are responsible for the actions of their authorized users (teachers and students) under their umbrella account.
5. PAYMENT AND BILLING (SAAS)
- ● 5.1 Subscription Bundles: Access to the Service requires purchase of a subscription bundle. Bundles are available for fixed durations including 1 month, 3 months, 6 months, and 12 months. The applicable Fee for the chosen bundle is paid once in advance at the time of purchase.
- ● 5.2 No Recurring Billing: Unlike traditional monthly subscriptions, our bundles are one-time prepaid purchases. No automatic recurring billing occurs. Once the bundle period expires, access to the Service will be suspended unless a new bundle is purchased.
- ● 5.3 No Refunds: All Fees paid for any bundle are strictly non-refundable. Once a bundle is purchased and the subscription is activated, no refunds, partial refunds, or credits will be issued for any reason, including but not limited to non-usage, change of mind, or dissatisfaction with the Service.
- ● 5.4 No Cancellations: Due to the nature of our prepaid bundle model, there is no right to cancel a subscription after purchase. Upon payment, the subscription is final and access is granted for the full bundle duration. Users may choose not to renew by simply not purchasing a new bundle upon expiration.
- ● 5.5 Payment Processing: We utilize third-party payment processors. By providing payment information, you authorize us (or our processor) to charge the applicable Fees for the selected bundle.
- ● 5.6 No Late Payments: Since all Fees are prepaid in full at the time of purchase, there is no concept of late payments. Access is granted only upon successful receipt of full payment for the chosen bundle.
6. AI SERVICES DISCLAIMER
- ● 6.1 Sherpa Analysis AI: The Service includes AI tools used solely for educational sherpa analysis, helping identify areas where students may need improvement.
- ● 6.2 No Warranty on AI Output: Maatri Nepal Learning Services Ltd does not guarantee that AI-generated analysis, insights, or recommendations are accurate, complete, or suitable for educational purposes. Users (specifically teachers and institutions) are solely responsible for reviewing, interpreting, and validating all AI-generated insights before use or distribution to students.
- ● 6.3 Human Oversight Required: The AI features are a tool to assist, not replace, professional judgment. Maatri Nepal Learning Services Ltd disclaims all liability for any adverse outcomes resulting from reliance on AI-generated analysis.
7. ACCEPTABLE USE POLICY
You agree not to:
- ● Upload, post, or transmit any content that is illegal, harassing, defamatory, or infringes on intellectual property rights.
- ● Attempt to reverse engineer, decompile, or hack the Service.
- ● Use automated scripts or bots to scrape data from the Service.
- ● Use the Service in any manner that violates the laws of Nepal or any applicable jurisdiction.
8. INDEMNIFICATION
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Maatri Nepal Learning Services Ltd, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
- 1. Your violation of any term of these Terms;
- 2. Your violation of any third-party right;
- 3. The use or misuse of AI-generated sherpa analysis by you or your students;
- 4. Any claim arising from your use of the educational materials provided through the Service.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by the laws of Nepal, Maatri Nepal Learning Services Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use or alteration of your transmissions or content.
10. TERMINATION
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or the business. Upon termination, your right to use the Service ceases immediately, and no refunds will be provided for any unused portion of your bundle.
11. DISPUTE RESOLUTION AND ARBITRATION
- ● 11.1 Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration as per the applicable laws of Nepal.
- ● 11.2 Class Action Waiver: You agree to arbitrate solely on an individual basis, and not as a class, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims.
12. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of Nepal. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Nepal, and the parties hereby consent to the personal jurisdiction and venue thereof.
